Vanguard Business Information LLC (“VNBIS”), operating under the brand name VNBIS, is not a consumer reporting agency, and the reports furnished by VNBIS do not constitute consumer reports as defined by the Fair Credit Reporting Act (FCRA), 15 U.S.C. §1681 et seq. These reports may not be used to determine eligibility for credit, insurance, employment, tenancy, or any other purpose that would constitute a “permissible purpose” under the FCRA. Use of any VNBIS reports for such purposes is strictly prohibited.
The User is authorized to use the information provided by VNBIS solely for internal reference in making legitimate business decisions. The User shall not use the information for any illegal, unfair, deceptive, or unauthorized purpose. Any misuse of the information constitutes a material breach of this Agreement.
All data, reports, and related materials provided by VNBIS are and shall remain the exclusive property of VNBIS. VNBIS retains all rights, including but not limited to copyrights and intellectual property rights, in and to the content and arrangement of the reports. No transfer of ownership or license is implied or granted.
Information furnished by VNBIS is intended for the internal use of the User and for lawful business purposes only, including evaluating potential partnerships, investments, and commercial risks in accordance with applicable U.S. and international law. It is not a substitute for the User’s independent judgment or due diligence.
The User agrees to maintain the confidentiality of all reports and information provided by VNBIS. The User shall not copy, reproduce, disclose, transmit, or make the information accessible, in whole or in part, to any third party without prior written consent from VNBIS. The User shall not request or use information on behalf of third parties.
The User acknowledges and agrees that VNBIS makes no representations or warranties, express or implied, regarding the accuracy, adequacy, timeliness, or fitness for a particular purpose of the information provided. The User assumes all risks associated with the use of the information and remains solely responsible for their business decisions.
The User acknowledges that VNBIS shall not be liable for any loss or damages suffered by the User or any third party arising from the use of VNBIS reports, whether caused by acts or omissions of VNBIS, even if advised of the possibility of such damages.
The User accepts that any risk associated with reliance on VNBIS reports lies with the User. Should the User wish to mitigate such risk, it is their responsibility to consider the use of insurance or other safeguards. VNBIS is not liable for substitute information, lost profits, or consequential damages.
In no event shall VNBIS’s aggregate liability to the User exceed the total amount paid by the User to VNBIS for the services rendered. The User waives any claim against VNBIS for any amount beyond such payment and agrees not to initiate any action exceeding that amount.
The User agrees to indemnify, defend, and hold harmless VNBIS, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with (i) the User’s violation of these Terms & Conditions, (ii) misuse of VNBIS information, or (iii) any third-party claim arising from the User’s actions or omissions.
VNBIS shall not be held liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, labor disputes, acts of terrorism, cyber-attacks, or failures of internet or telecommunications providers.
Any claim, demand, or cause of action relating to these Terms & Conditions or the use of VNBIS services must be filed within twelve (12) months after the cause of action arises; otherwise, such claim is permanently barred.
The User is solely responsible for ensuring that their use of VNBIS reports complies with all applicable laws and regulations in their jurisdiction. VNBIS makes no representation regarding the legality of use in any specific location outside the United States.
This Agreement shall automatically renew for successive periods unless terminated in writing by the User with 30 days' advance notice prior to the renewal date. VNBIS reserves the right to revise pricing and other terms with 30 days' written notice prior to the renewal date. Renewals will maintain the same conditions unless otherwise amended in writing.
This Agreement shall be governed by and interpreted in accordance with the laws of the Commonwealth of Virginia, USA, and applicable international principles. Any dispute arising under or related to this Agreement shall be resolved exclusively in the courts located in Virginia, USA. Both parties submit to the jurisdiction of such courts.
This Agreement constitutes the complete understanding between VNBIS and the User with respect to its subject matter. It supersedes any prior written or oral agreements. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any amendments must be in writing and signed by both parties.
This Agreement is not binding on VNBIS until expressly accepted by VNBIS. VNBIS reserves the right to terminate this Agreement at any time without notice in the event of a material breach by the User, or with 30 days’ written notice otherwise. VNBIS may update or modify these Terms & Conditions by giving 30 days' notice and/or by publishing the revised terms on its official website (https://www.vnbis.com/terms).
